Introduction
Interconnecx provides web hosting services to clients worldwide. We have a responsibility to protect each client and provide the best services available. By using our services, you agree to be bound by these Terms of Service.
All clients of Interconnecx LLC are subject to the following terms:
1. Indemnification Policy
1.1 Use at Your Own Risk
You agree to use all Interconnecx services and facilities at your own risk. Interconnecx specifically disclaims all warranties of merchantability and fitness for a particular purpose.
1.2 Liability Limitations
In no event shall Interconnecx be liable for:
- Loss of data or information
- Commercial damages
- Special, incidental, or consequential damages
- Any other damages arising from service use
1.3 Customer Responsibilities
Customer agrees to:
- Defend, indemnify, save and hold Interconnecx harmless from any demands, liabilities, losses, costs and claims
- Cover reasonable attorney's fees asserted against Interconnecx, its agents, customers, officers and employees
- Accept responsibility for services provided or products sold by customer, its agents, employees or assigns
- Indemnify against liabilities arising from injury to person or property caused by any products sold or distributed in connection with Interconnecx's servers
1.4 Our Rights
Interconnecx reserves the right to intervene with any sites hosted on its servers in the interest of its customers. We are the sole judge of what violates this Policy regarding:
- Material infringing on proprietary rights of third parties
- Copyright infringement
- Defective products sold from our servers
2. Billing
2.1 Payment Methods
We accept payments via:
- Credit Card (preferred method)
- PayPal (subscription or manual payment)
We ask that you pay via Credit Card when possible, as it simplifies billing processes.
2.2 Billing Schedule
- All accounts are billed on the 1st day of each month
- Payment terms are specified in your service agreement
- Invoices are sent via email to your registered account
3. Late Payments
3.1 Payment Timeline
- Due Date: 1st day of the month
- Grace Period: 5 days
- Suspension: Account suspended after 5 days with late fee added
- Termination: Account terminated after 30 days past due
3.2 Notification
You must notify us before the due date if you anticipate payment issues. We may be able to work with you to prevent service interruption.
4. Billing Disputes & Chargebacks
4.1 Chargeback Policy
Important: If you dispute a charge through your bank or PayPal, the following will occur:
- Immediate forfeiture of all customer-owned equipment to Interconnecx
- Additional fees for chargeback costs will be added to your account
- Future payments will only be accepted via ACH or Wire Transfer
- All services will be terminated immediately upon notice of reversal
- No refunds will be warranted after dispute
4.2 Proper Dispute Resolution
Before initiating any chargeback:
- Open a support ticket at our website
- Contact us at sales@incx.net
- Allow us to address your concerns
We are committed to resolving billing issues fairly and promptly.
5. Termination of Service
5.1 Cancellation Requirements
To cancel services, you must:
- Submit written notice via email or support ticket
- Provide 30 days advance notice
- Pay all invoices up to 30 days after cancellation
5.2 Contract Obligations
- Yearly or bi-yearly contracts require full-term payment
- Early termination fees apply to contracts canceled before completion
- Special terms may apply - review your service agreement
5.3 Colocation Equipment
- All invoices must be paid in full before equipment release
- Contact support to arrange equipment pickup/shipping
- Equipment will not be released with outstanding balances
6. Automated Payments
6.1 Customer Responsibility
You are responsible for:
- Managing automated payment systems (PayPal subscriptions, etc.)
- Canceling automated payments upon service termination
- Ensuring payments are sent by the billing due date
6.2 Our Policy
- We are not responsible for automated payments sent from third-party systems
- We do not refund automated payments
- Late fees apply to payments received after the due date
7. Refund Policy
Our policy is clear and firm:
- No refunds will be given under any circumstance
- All sales are final
- We will work diligently to fix any problems you encounter
- 30-day written notice of cancellation is required
- Outstanding service issues do not waive payment obligations
8. Acceptable Use Policy
8.1 Lawful Use Only
All services provided by Interconnecx may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of United States Federal, State or City law is prohibited.
8.2 Prohibited Content & Activities
The following are strictly prohibited:
Illegal Content:
- Copyrighted material (unauthorized distribution)
- Threatening or obscene material
- Material protected by trade secret
- Underage pornography
- Content violating any US Federal, State, or City laws
Undesirable Content:
- Adult content of any description
- Hacking, Cracking, or Warez-related content
- IRC networks (without prior approval)
- Unauthorized software, audio, or video downloads
Illegal Activities:
- Harassment or fraud
- Trafficking in obscene material
- Distribution of unauthorized copyrighted software
- Any activity violating US law
8.3 Enforcement
- Our acceptable use policy is actively and strictly enforced
- Offending content or users are suspended immediately upon discovery
- We will inform you when and why action has been taken
- No refunds for accounts suspended due to AUP violations
8.4 Indemnification
The subscriber agrees to indemnify and hold harmless Interconnecx and its employees from any claims resulting from service use that damages the subscriber or any other party.
9. Service Interruptions
9.1 Nature of Service
Subscriber acknowledges that:
- Service can be interrupted for many reasons beyond our control
- Damages from interruptions are difficult to ascertain
- We are not liable for damages from causes beyond our direct control
9.2 Liability Limits
- Our liability for our own negligence shall not exceed charges payable during the damage period
- We are not liable for special or consequential damages, loss or injury
10. Limitation of Liability
Interconnecx shall not be responsible for:
- Any claimed damages from servers going offline or being unavailable
- Incidental or consequential damages
- Corruption or deletion of websites from our servers
- Lost profits or revenue
- Data loss or corruption
All damages are limited to the immediate termination of service.
11. Disclaimer
11.1 General Disclaimer
Interconnecx cannot be held liable for:
- System downtime, crashes, or data loss
- Predicted estimate of profits or lost revenue
- Service interruptions beyond our control
11.2 Resold Services
Certain services provided by Interconnecx are resold. Equipment, routing, software, and programming may not be directly owned or written by Interconnecx.
11.3 Account Responsibility
- Interconnecx holds no responsibility for client account usage
- Accounts violating terms will be automatically deactivated
- We reserve the right to remove accounts without advanced notice
- No restitution will be provided for terms violations
11.4 Changes to Terms
IMPORTANT: Interconnecx retains the right to change any or all of these Policies, Guidelines, and Disclaimers without notification.
12. Bandwidth Usage Policy
12.1 Fair Use
While our services are unmetered, we have fair use policies:
- Clients may not utilize 80% port speed 24/7
- Continuous port throttling causes network issues
- This is a violation of our usage policy
12.2 Enforcement
- Users who continuously throttle ports will be contacted
- Continued violations will result in service termination
- Our unmetered service is designed for normal business use, not continuous maxing out of resources
